Healthcare Trust of America Inc., a Maryland corporation was incorporated on April 20, 2006. It is a fully integrated, self-administered and self-managed real estate investment trust, or REIT. The Company acquires, owns and operates medical office buildings and other facilities that serve the healthcare industry. The Company invests mainly in medical office buildings based on fundamental healthcare and real estate economics. It also invests to a limited extent in other real estate-related assets, such as mortgage loans receivable. It owns a national portfolio of high-quality medical office buildings that are geographically diversified in 27 states. As of December 31, 2012, its portfolio consisted of 247 medical office buildings and 19 other facilities that serve the healthcare industry, as well as two mortgage loans receivable. Its portfolio is comprised of 12.6 million of square feet of GLA. The Company competes with many other real estate investment entities, including financial institutions, institutional pension funds, real estate developers, other REITs, other public and private real estate companies and private real estate investors for the acquisition of medical office buildings and other facilities that serve the healthcare industry. It is subject to laws and regulations covering, among other things, licensure, certification for participation in government programs, and relationships with physicians and other referral sources.
